Our experience in corporate finance and litigation allows us to:
- Negotiate and document asset and formula-based revolving and term loan facilities.
- Develop and update commercial and consumer lending forms for nationwide use, including solutions to issues that arise under the Uniform Commercial Code.
- Represent finance companies in lender liability and regulatory compliance matters.
- Assist clients with Uniform Commercial Code compliance, including loss prevention and implementation of internal controls.
- Negotiate and document sales of assets, stock and commercial real estate including assisting in transactional due diligence.
- Structure sales and other transactional agreements that minimize risk, including confidentiality, non-compete and shareholder agreements.
- Assist clients with restructuring and rehabilitating problem loans, including negotiating and drafting recapitalization and forbearance agreements and representing clients’ interests in insolvency proceedings.
- Negotiate and document complex loan restructuring agreements on behalf of lenders and borrowers.
- Assist clients in obtaining new or additional sources of capital, including debt financing and temporary or permanent equity investment.
